BY REGISTERING ON THE PLATFORM, THE MERCHANT AGREES TO THE FOLLOWING TERMS AND CONDITIONS TO SELL ON THE ECOMMERCE PLATFORM. Registration is considered an electronic acknowledgment and acceptance of these terms.
- Services Provided by the Platform
The Platform enables the Merchant to list and sell products through its online marketplace. The services include: • Product Listing Tools. • Marketing and Promotional Support. • Payment Processing and Handling. • Access to the Platform’s User Base and Traffic.
- Merchant Responsibilities
The Merchant agrees to: • Listing Products: Provide accurate and up-to-date product details (pricing, description, and images). • Compliance: Ensure that all products meet applicable laws, regulations, and Platform policies. • Order Fulfillment: Process and fulfill orders promptly within the agreed-upon time frame. • Shipping & Delivery: Ship products within the specified period and supply tracking information. • Customer Service: Respond promptly to customer inquiries and address complaints.
- Fees and Payments
• Platform Fees: A commission fee of 5% will be deducted from each sale made through the Platform. • Payment Schedule: Payments will be made to the Merchant on a [weekly/monthly] basis via [bank transfer/PayPal/other method]. • Refunds and Chargebacks: The Merchant is responsible for handling all refund requests and chargebacks related to their products.
- Term and Termination
• Term: This Agreement becomes effective upon the Merchant’s electronic registration and remains in force until terminated by either party. • Termination: Either party may terminate the Agreement with one month’s written notice. The Platform reserves the right to immediately terminate the Agreement if the Merchant breaches any terms or engages in illegal activity.
- Indemnification
The Merchant agrees to indemnify and hold harmless the Platform, including its officers, employees, and affiliates, from any claims, losses, damages, or liabilities arising from the Merchant’s products or actions.
- Intellectual Property
The Merchant grants the Platform a non-exclusive, worldwide license to use the Merchant’s product images, descriptions, and other content for promotional purposes on the Platform.
- Confidentiality
Both parties agree to maintain the confidentiality of any sensitive or proprietary information exchanged during the term of this Agreement.
- Limitation of Liability
The Platform shall not be liable for any indirect, incidental, or consequential damages arising from the services provided under this Agreement.
- Governing Law
This Agreement is governed by and construed in accordance with the laws of Nigeria. Any disputes will be resolved in the courts of Nigeria.
